The terms that govern your use of Beacon.
1. Agreement to These Terms
These Terms & Conditions ("Terms") govern your access to and use of the Beacon platform and related services (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business.
2. Eligibility and Accounts
You must be at least the age of majority in your jurisdiction to use the Service. You are responsible for providing accurate account information, keeping your credentials confidential, and for all activity that occurs under your account.
3. The Service
Beacon provides a unified dashboard that connects ecommerce and marketing platforms, normalises their data, and offers analytics and AI features. We may add, change, or remove features at any time, and we may suspend the Service for maintenance or security reasons.
4. Subscriptions and Billing
Paid plans are billed in advance on a recurring monthly or annual basis, in the currency shown at checkout.
- Automatic renewal: subscriptions renew automatically unless cancelled before the end of the current billing period.
- Payment: you authorise us to charge your chosen payment method for all applicable fees.
- Price changes: we may change prices with advance notice, effective from your next billing period.
- Refunds: fees are non-refundable except where required by law.
- Taxes: fees exclude applicable taxes unless stated otherwise.
5. Connected Stores and Third-Party Platforms
You are responsible for the platforms you connect to Beacon, for having the right to access them, and for the accuracy of the credentials you provide. Your use of those platforms is governed by their own terms and policies. We are not responsible for data or actions originating from third-party platforms.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful, infringing, or fraudulent purpose.
- Access or attempt to access another merchant’s data or our systems without authorisation.
- Reverse engineer, resell, or copy the Service except as permitted by law.
- Introduce malware, disrupt the Service, or impose an unreasonable load on our infrastructure.
- Use the Service to send spam or to violate the rights of others.
7. Intellectual Property
The Service, including its software, design, and content (excluding your data), is owned by Beacon and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.
8. Customer Data
You retain all rights to the data you and your connected platforms submit to the Service ("Customer Data"). You grant us the right to process Customer Data to provide, secure, and support the Service. We will not sell Customer Data or use it for purposes other than providing the Service, except as aggregated and de-identified.
9. Third-Party Services
The Service integrates with third-party services. We do not control and are not responsible for those services, and your use of them is subject to their terms.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that it will meet your requirements.
11. Limitation of Liability
To the fullest extent permitted by law, Beacon will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising out of or related to the Service. Our total liability will not exceed the amount you paid to Beacon in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold Beacon harmless from claims, damages, and expenses arising from your use of the Service, your Customer Data, or your violation of these Terms or the rights of a third party.
13. Termination and Suspension
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or if required by law. On termination, your right to use the Service ends, and we may delete Customer Data in accordance with our retention practices.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which Beacon is established, without regard to conflict of law rules. Any dispute will be resolved in the competent courts of that jurisdiction, unless mandatory law provides otherwise.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
